4. Payment Terms
Payment Schedule
- Project deposits are due upon contract signing
- Milestone payments as outlined in project agreements
- Final payment due upon project completion
- Monthly retainer fees for ongoing services
Payment Policies
- Invoices are due within 30 days of receipt
- Late payments may incur additional fees
- Work may be suspended for overdue accounts

5. Intellectual Property
Client-Owned IP
Upon full payment, clients receive ownership of custom code, designs, and deliverables specifically created for their project, excluding our proprietary tools and frameworks.
Codrva Digital IP
We retain ownership of our proprietary methodologies, frameworks, tools, and any pre-existing intellectual property used in delivering services.
Third-Party IP
Clients are responsible for ensuring they have proper licenses for any third-party software, APIs, or services integrated into their projects.
6. Confidentiality
We understand the sensitive nature of business information and commit to maintaining strict confidentiality:
- All client information is treated as confidential and proprietary
- We do not share client data with third parties without explicit consent
- Team members sign confidentiality agreements
- Secure development practices and data handling procedures
- Client information is used solely for project delivery purposes
7. Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed with professional skill and care. We will correct any defects in our work at no additional charge for 90 days after delivery.
Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes or results from our services.
8. Limitation of Liability
Important: Our liability is limited as follows:
- Total liability shall not exceed the amount paid for services in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for data loss due to client system failures
- Clients are responsible for maintaining backups of their data
- Force majeure events are excluded from liability
9. Project Scope and Changes
Scope Definition
Project scope, deliverables, and timelines are defined in individual project agreements. All work is performed according to the agreed specifications.
Change Requests
Changes to project scope require written approval and may result in additional costs and timeline adjustments. We will provide estimates for any requested changes before implementation.
10. Termination
By Client
Clients may terminate services with 30 days written notice. Payment is due for all work completed up to the termination date.
By Codrva Digital
We may terminate services for non-payment, breach of terms, or if continuation would violate applicable laws.
Upon termination, we will provide completed work and assist with reasonable transition activities.
11. Support and Maintenance
Included Support
Basic support for 90 days after project delivery, including bug fixes and clarification on delivered functionality.
Extended Support
Ongoing maintenance, updates, and support are available through separate maintenance agreements with defined service levels and response times.
12. Governing Law
These terms are governed by the laws of [Your State/Country]. Any disputes will be resolved through binding arbitration or in the courts of [Your Jurisdiction]. If any provision is found unenforceable, the remaining terms remain in full effect.
13. Updates to Terms
